Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") govern your use of Numo, operated by Nuova Optics LLC JBR, Dubai, UAE ("we", "us", "our"). By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use Simple AR.

2. Description of Service

Numo is a SaaS platform that automates accounts receivable by connecting to accounting software (Xero, QuickBooks), syncing outstanding invoices, and sending WhatsApp payment reminders to customers on your behalf.

3. Account Registration & Organisations

You must provide accurate information when registering. Numo uses organisations (teams) as the unit of tenancy. You are responsible for all activity that occurs under your organisation, including actions taken by members you invite.

4. User Responsibilities

You agree to: (a) maintain valid authorisation with your accounting software provider; (b) obtain appropriate opt-in consent from customers before sending them WhatsApp messages; (c) not use Numo to send unsolicited bulk messages or spam; (d) comply with all applicable laws regarding electronic communications and data privacy; and (e) represent that all WhatsApp message recipients are your own customers and have a legitimate business relationship with you or have explicitly opted in to receive WhatsApp communications from you.

5. WhatsApp & Meta Platform Compliance

Numo is a Meta Tech Provider. Use of WhatsApp messaging through the platform is subject to Meta's Business Messaging Policy and WhatsApp Business Terms of Service.

Consent obligation: You must obtain explicit opt-in consent from each end-customer before sending them any WhatsApp message via Simple AR. Acceptable consent includes a clear opt-in during checkout, account registration, or another touchpoint where the customer agrees to receive WhatsApp communications from your business.

Prohibited use: You must not use Simple AR to send unsolicited messages, promotional spam, or messages to any recipient who has not consented or who has previously opted out of receiving WhatsApp communications from your business.

Compliance liability: You are solely responsible for ensuring your use of WhatsApp messaging through Simple AR complies with Meta's WhatsApp Business Policy, the WhatsApp Business Terms of Service, and all applicable anti-spam and electronic communications laws in your jurisdiction. Nuova Optics LLC is not liable for any fines, penalties, or claims arising from your failure to comply with these requirements.

We reserve the right to suspend or terminate your messaging access if your account is found to be in violation of Meta's policies or these Terms.

6. Accounting Integration

Connecting your Xero or QuickBooks account grants Numo read access to your invoices and customer data within the agreed OAuth permission scope. You can revoke this access at any time from the Integrations page. We are not responsible for errors or delays in data sync caused by the accounting provider's API.

7. Acceptable Use

You may not: reverse engineer or attempt to extract source code from the platform; use the service to harass, threaten, or abuse any person; attempt to circumvent security controls; or use the platform for any unlawful purpose.

8. Intellectual Property

Numo and all associated software, branding, and content are owned by Nuova Optics LLC. You retain ownership of all data you import into the platform (invoices, customer contacts, etc.). We do not claim any intellectual property rights over your data.

9. Service Availability

We do not guarantee uninterrupted uptime. Scheduled and unscheduled maintenance may occur. We are not liable for missed payments or financial loss resulting from service downtime, delayed reminders, or errors in data sync.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Nuova Optics LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, arising from your use of or inability to use Numo.

11. Termination

You may delete your account at any time. We reserve the right to suspend or terminate your access if you violate these Terms or engage in activity that harms other users, the platform, or third parties. Upon termination, your data will be handled in accordance with our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

13. Changes to Terms

We may update these Terms from time to time. We will provide notice of material changes via email or an in-app notification. Continued use of Numo after changes are posted constitutes your acceptance of the updated Terms.
